Welcome to OpenSell MarketPlace. These Terms and Conditions constitute a legally binding agreement between you and OpenSell governing your access to and use of our services. Please read these terms carefully before proceeding.
You must be at least 16 years of age to create an account, post listings, or interact with other users on our platform.
By creating an account, you affirm that you are over the age of 16 and are fully able to form a legally binding contract.
These Terms and Conditions constitute a binding agreement between you and OPENSELL MARKETPLACE LIMITED, a company duly incorporated under the laws of the Federal Republic of Nigeria with Company Registration Number 8904110.
By accessing or using our platform, you acknowledge that you are entering into a contractual relationship with OpenSell MarketPlace Limited and agree to be bound by these terms.
By registering on our platform, you consent to receive transactional and account-related communications via email, including but not limited to confirmation emails, updates on your listings, and security notifications.
You may opt out of non-essential marketing communications at any time by following the unsubscribe instructions provided in each email or by adjusting your communication preferences in your account settings.
We are committed to protecting your privacy. All personal information submitted through the platform is collected, processed, and stored in accordance with our comprehensive Privacy Policy.
OpenSell implements industry-standard security measures to safeguard your personal information against unauthorized access, alteration, disclosure, or destruction.
You bear full responsibility for the accuracy, completeness, and legality of all content and information included in your listings.
The listing, promotion, or sale of illegal, counterfeit, harmful, offensive, or prohibited items is strictly forbidden on the platform.
To maintain platform quality and relevance, listings may be automatically removed after 45 days of inactivity if not updated or refreshed by the seller.
You will receive notification prior to any automatic removal of your listings, allowing you the opportunity to update them.
OpenSell reserves the right to review, moderate, and remove any listing or account that violates these Terms and Conditions, our Community Guidelines, or applicable laws and regulations.
We maintain the right to modify, suspend, or discontinue any aspect of our services at any time, with or without prior notice.
OpenSell serves as a marketplace platform and is not responsible for resolving disputes between buyers and sellers. Users are strongly encouraged to communicate openly and resolve issues directly with each other.
In cases of serious violations, fraudulent activity, or persistent non-compliance with our terms, OpenSell reserves the right to suspend or permanently terminate user accounts.
To the maximum extent permitted by applicable law, OpenSell shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from your use of the platform or any transactions conducted between users.
OpenSell does not guarantee the quality, safety, or legality of items listed, the accuracy of listings, or the ability of sellers to sell or buyers to pay for items.
OpenSell MarketPlace Limited shall not be liable for any losses, damages, or disputes arising from the non-refundable nature of wallet funding, the inability to withdraw wallet funds, or any decisions made by users regarding wallet funding amounts.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must immediately notify OpenSell of any unauthorized use of your account or any other breach of security that you become aware of.
Wallet System: OpenSell operates a closed-loop digital wallet system. All funds deposited into your wallet remain within the platform and can only be used for transactions on OpenSell MarketPlace. Wallet funds cannot be withdrawn, refunded, or transferred to external bank accounts.
Non-Refundable Funding: All wallet funding transactions are final and irreversible. Once funds are successfully credited to your OpenSell wallet, they cannot be refunded, reversed, or withdrawn under any circumstances. You acknowledge and accept this limitation before funding your wallet.
Payment Processing: OpenSell uses Monnify, a licensed payment service provider regulated by the Central Bank of Nigeria, to process all financial transactions. By using our payment services, you agree to comply with Monnify's terms of service and applicable financial regulations.
Virtual Account Creation: To create a permanent virtual account for wallet funding, you must provide valid identity verification information, including either your Bank Verification Number (BVN) or National Identification Number (NIN). This requirement is mandated by Nigerian financial regulations and KYC compliance standards.
Identity Verification: You warrant that all identity information provided (including BVN/NIN) is accurate, current, and belongs to you. Providing false or fraudulent identity information is a serious violation of these terms and may result in immediate account termination and legal action.
Transaction Fees: While OpenSell currently offers a no-fee period for early adopters, we reserve the right to introduce transaction fees, service charges, or premium features in the future. Users will be notified of any fee structures before implementation.
Wallet Balance: Your wallet balance represents a prepaid balance for use on the OpenSell platform. It does not constitute a deposit account, savings account, or any form of banking product. OpenSell is not a financial institution and does not pay interest on wallet balances.
Failed Transactions: In the event of a failed funding transaction where funds were debited from your bank account but not credited to your wallet, you must contact our support team within 48 hours with relevant transaction evidence. We will investigate and resolve genuine failed transactions in accordance with our dispute resolution procedures.
No Wallet Refunds: Wallet funding transactions are strictly non-refundable. Once funds are successfully deposited into your OpenSell wallet, they cannot be refunded, withdrawn, or transferred back to your bank account under any circumstances, including but not limited to change of mind, accidental funding, or account closure.
Transaction Disputes: Disputes between buyers and sellers regarding product quality, delivery, or other transaction-related issues must be resolved directly between the parties. OpenSell does not process refunds for transactions completed between users.
Exception for Failed Transactions: The only circumstance under which funds may be returned is in the case of a verified failed transaction where payment was debited from your bank account but not credited to your wallet due to technical errors. Such cases will be investigated and resolved within 7-14 business days upon receipt of valid evidence.
Dispute Resolution Process: If you believe there has been an unauthorized or erroneous transaction, you must notify us immediately at contact@opensell.ng with all relevant documentation. We will investigate and respond within 14 business days.
Account Closure: Upon voluntary account closure, any remaining wallet balance will be forfeited unless otherwise agreed in writing with OpenSell MarketPlace Limited. We strongly advise users to utilize their entire wallet balance before requesting account closure.
Users must not engage in fraud, misrepresentation, spam, harassment, or the posting of false, misleading, or deceptive information.
Any attempt to manipulate, disrupt, or impose an unreasonable load on our platform or infrastructure is strictly prohibited.
Financial Regulations: OpenSell MarketPlace Limited operates in compliance with all applicable Nigerian financial regulations, including Central Bank of Nigeria (CBN) guidelines, anti-money laundering (AML) regulations, and counter-terrorism financing (CTF) requirements.
KYC Compliance: Users must provide accurate identity verification information as required by Nigerian Know Your Customer (KYC) regulations. Failure to provide valid information or providing false information may result in account suspension or termination.
Data Protection: We comply with the Nigeria Data Protection Regulation (NDPR) 2019 in our collection, processing, and storage of user data. Your rights under NDPR are detailed in our Privacy Policy.
Transaction Monitoring: To comply with anti-money laundering regulations, we monitor transactions for suspicious activity. We reserve the right to freeze accounts, report suspicious transactions to relevant authorities, and cooperate fully with law enforcement investigations.
OpenSell reserves the right to modify these Terms and Conditions at any time. We will provide notice of significant changes through the platform or via email.
Your continued use of the platform after any such changes constitutes your acceptance of the modified terms.
These Terms and Conditions are governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles.
Any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the competent courts of Nigeria.
